Terms of Service

  1. Acceptance of Terms
    By signing up for or using Roof Hawk AI’s AI-generated reports service (the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legal agreement between you (the “User”) and Roof Hawk AI (“Company,” “we,” or “us”), located at 2008 Lookout Drive, Garland, TX 75044. If you do not agree to these Terms, you must not use the Service. You acknowledge that you are of legal age and capacity to enter into this agreement; if you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
    1.1 Plan Selection Responsibility
    You are solely responsible for reviewing and selecting the plan that best suits your needs. If you opt for a monthly subscription plan, you expressly acknowledge and agree that recurring monthly charges will apply. Any claim of misunderstanding regarding whether a plan is monthly or otherwise shall not release you from the obligations and fees stated in these Terms.
    1.2 Communication Consent
    By signing up for or using our Service (including browsing our website or creating an account), you expressly consent to receive phone calls and text messages from Roof Hawk AI for information and updates related to the Service, including inquiries about account status, billing, service announcements, marketing, or other business-related communications. Standard message and data rates may apply. You may opt out of these communications at any time by following the opt-out instructions provided in each text message or by contacting us at support@roofhawk.ai.
  2. Accounts and Eligibility
    To access the Service, you may need to create an account and provide accurate, complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. Individuals under that legal age may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
  3. Description of Service
    Roof Hawk AI provides an online platform that generates custom AI-generated reports based on user-provided data. Users may access these services either through a prepaid plan or a subscription-based plan. Upon purchasing a plan, your account will be credited with report “credits” or a report balance that allows you to request and receive AI-generated reports. The specifics of each plan, including pricing and the number of reports or credits, are described on our website and at the time of purchase. All use of the Service is subject to these Terms and any posted policies or guidelines.
  4. Plans and Billing
    4.1 Subscription Plans
    • Nature of Monthly Subscriptions: If you choose a monthly subscription plan, you expressly acknowledge, understand, and agree that you will be charged a subscription fee automatically on a recurring monthly basis (each, a “Billing Cycle”). This monthly recurrence is clearly indicated at checkout.
    • Payment Authorization: By enrolling in a monthly subscription plan, you agree that we may bill the monthly fee to the payment method on file each Billing Cycle until you cancel as described below.
    • Billing Cycle & Failure of Payment: Subscription fees are charged in advance of each Billing Cycle (e.g., monthly, on the calendar day corresponding to the date of your initial subscription). If your payment method fails or is declined, we may attempt to reprocess the payment or suspend your access to the Service until payment is successfully collected.
    • Changes in Fees: We reserve the right to change subscription fees, but we will provide advance notice of any price changes and an opportunity to cancel if you do not agree to the new price.
    • User Acknowledgment: By proceeding with the purchase, you represent and warrant that you have read these Terms, including the details of the monthly subscription, and that you fully understand your obligation to pay monthly fees for continued access. Claims of “not knowing it was monthly” do not absolve you from the recurring payment obligations of the plan you selected.
    4.2 Prepaid Plans
    If you choose a prepaid plan, you will pay a one-time fee upfront in exchange for a certain number of AI report credits or a report balance added to your account. Prepaid credits allow you to request reports up to the purchased amount, and they do not expire. You will not be charged on a recurring basis for a prepaid plan. Once your prepaid credits are exhausted, you will need to purchase a new plan or additional credits to continue using the Service. We reserve the right to offer prepaid packages in various sizes or amounts and to change the pricing of prepaid credits. However, any changes will not retroactively affect credits you have already purchased. 4.3 No Refund Policy
    All sales are final. Under no circumstances will Roof Hawk AI provide refunds for any fees, payments, or unused credits. This no-refund policy applies to both subscription fees and prepaid purchases. Once you have been billed for a subscription period or have purchased prepaid credits, you will not be eligible for a refund of those fees regardless of whether or not you use the Service or have remaining credits. We encourage you to review the details of each plan carefully before subscribing or making a purchase. If you have questions about the Service or plan features, please contact us before making a purchase, as refunds will not be provided.
  5. Cancellation and Termination
    5.1 Subscriber Cancellation
    • Method of Cancellation: Monthly subscribers may cancel their subscription at any time through their account settings or by contacting our customer support at support@roofhawk.ai or 214-755-1001.

    • Effective Date of Cancellation: Cancellation will take effect at the end of your current monthly Billing Cycle unless you request an earlier termination date.

    • Forfeiture of Credits: Upon cancellation of a monthly subscription, all unused report credits or entitlements in your account will expire immediately and be forfeited.

    • No Refund for Unused Time/Credits: You will retain access to the Service until the effective cancellation date, but you will not receive any refund or credit for unused time or unused credits. After cancellation, we will not charge you for subsequent Billing Cycles, but you will lose any remaining unused reports/credits as of the cancellation date. If you wish to avoid losing credits, please use them before canceling your subscription.
    5.2 Company Termination
    We reserve the right to suspend or terminate your account or access to the Service at our sole discretion if we suspect that you have violated these Terms or any applicable law, or if your payment method is invalid or charges are refused. In such cases, any unused credits in your account may also be forfeited. We will provide notice to you in the event of termination when reasonably possible. You agree that Roof Hawk AI is not liable to you for any termination of your account or access to the Service in accordance with these Terms.
    5.3 Effect of Termination
    Upon any termination or cancellation of your account, whether by you or by us, these Terms will cease to apply, except that all provisions that by their nature should survive termination (such as intellectual property rights, disclaimers of warranty, limitation of liability, and governing law) shall survive. If your account is terminated or canceled, you will lose access to the Service and any data or content in your account, and you are responsible for securing any report results or data you wish to retain prior to termination. We are not obligated to retain your data after termination, subject to any data retention requirements in our Privacy Policy or by law.
  6. User Data and Privacy
    Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Service are described in our Privacy Policy, which is hereby incorporated into these Terms by reference. We are committed to complying with all applicable data protection laws, including the European Union General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), to the extent they apply to our operations and the personal data we process.
    6.1 GDPR and CCPA Compliance
    If you are located in the European Economic Area (EEA) or the United Kingdom, or if you are a California resident, you have specific privacy rights regarding your personal data. We facilitate the exercise of the following rights, in accordance with applicable law:

    6.2 Exercising Your Privacy Rights
    To exercise any of the rights described above, please contact us at support@roofhawk.ai or via the data request form on our website. For security purposes, we will verify your identity before fulfilling any requests. We will respond within the timeframes required by law (generally 30 days for GDPR requests and 45 days for CCPA requests, with possible lawful extensions). If we decline your request, we will explain the reason. By using the Service, you acknowledge that you have read our Privacy Policy and understand how we process your data. If you do not agree with our data practices, please do not use the Service.
  7. Ownership of User-Provided Data and Content
    7.1 Company Ownership of Data
    You agree that all data, information, content, or materials that you input, upload, or provide to the Service or to our AI engine (collectively, “User Data”) become the sole property of Roof Hawk AI upon submission. Except as restricted by applicable privacy laws with respect to personal data, Roof Hawk AI owns all rights, title, and interest in and to the User Data. You waive any claims to compensation, royalties, or residual rights in any User Data you provide. We may use, reproduce, modify, adapt, publish, or distribute the User Data for the purpose of providing and improving the Service (including refining our AI models), without any obligation to you.
    7.2 No Confidentiality in Submissions
    Except for personal information protected under our Privacy Policy, any information or content you provide is not considered confidential. By providing User Data, you acknowledge and agree that we may retain and use this data in accordance with these Terms. If you submit feedback, suggestions, or ideas about the Service, we are free to use them without any restriction or compensation to you, and you irrevocably assign any such feedback to us.
    7.3 User Responsibility for Data
    You represent and warrant that you have all necessary rights to provide the User Data to the Service and to grant the ownership rights and permissions stated in these Terms. You are solely responsible for the content of all User Data you provide, and you agree not to submit any data or content that is unlawful, infringes on any third-party intellectual property or privacy rights, or otherwise violates these Terms. We reserve the right (but assume no obligation) to remove or delete any User Data that we deem to violate these Terms or applicable law.
  8. Intellectual Property Rights
    8.1 Company Property
    All content and materials provided through the Service, including but not limited to the AI-generated reports, software, algorithms, code, text, graphics, logos, interfaces, trademarks, and trade names used in the Service (collectively, “Company Content”), are the intellectual property of Roof Hawk AI or its licensors, protected by copyright, trademark, patent, and other intellectual property laws. Roof Hawk AI retains all rights, title, and interest in and to the Service and Company Content. Your use of the Service does not grant you any ownership rights in our intellectual property. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service and any reports or content generated for your personal or internal business use in accordance with these Terms.
    8.2 Restrictions
    You agree not to, and not to allow any third party to:
    • Copy, distribute, or create derivative works based on the Service or Company Content (except as expressly permitted by us).Reverse engineer, decompile, or attempt to extract the source code of any software or algorithms related to the Service.Remove or obscure any proprietary notices on the Service or in any generated reports.Use any automated system (e.g., bots, spiders) to access the Service in a manner that sends more requests than a human can reasonably produce.Use the Service or any output from the Service for any illegal or unauthorized purpose, or in violation of any applicable laws or regulations.
    We reserve the right to terminate or suspend any users who violate these intellectual property restrictions or who infringe upon our rights or the rights of others.
  9. Billing Authorization and Payment Responsibilities
    By providing a payment method (such as a credit card) and enrolling in a plan, you authorize Roof Hawk AI to charge your chosen payment method for all fees incurred under your account, including subscription fees, prepaid purchases, taxes, and any other charges. If we do not receive payment, you remain responsible for any uncollected amounts and we may suspend or terminate your access to the Service for nonpayment. You must provide current, complete, and accurate billing information, and update it promptly in the event of any changes. No refunds or credits will be provided for any reason, as per Section 4.3.
  10. Disclaimers of Warranties
    The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Roof Hawk AI disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Service, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or performance. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses. AI-generated reports are produced by automated systems, and while we strive for accuracy, we make no warranty that the reports are complete, correct, or will meet your specific needs. You use and rely on the reports at your own risk. No advice or information obtained from Roof Hawk AI shall create any warranty not expressly stated herein. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
  11. Limitation of Liability
    To the fullest extent permitted by applicable law, Roof Hawk AI and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost savings, lost business opportunities, loss of data, or other intangible losses, even if advised of the possibility of such damages. Our total cumulative liability for any claims arising out of or related to these Terms or the Service, regardless of the form of action, shall be limited to the total amount of fees you paid to Roof Hawk AI for the Service in the six (6) months immediately preceding the claim, or if no fees have been paid, fifty U.S. dollars (USD $50). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under law.
  12. Indemnification
    You agree to indemnify, defend, and hold harmless Roof Hawk AI, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of or related to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement or misappropriation of any third party’s rights. We reserve the right, at our own expense, to assume the exclusive defense of any matter subject to indemnification by you, and you agree to cooperate with our defense.
  13. Changes to the Service or Terms
    Roof Hawk AI reserves the right to modify or update the Service or these Terms at any time. If we make material changes to these Terms, we will provide notice (e.g., by email or posting on our website) prior to the changes becoming effective. By continuing to use the Service after such changes become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the Service and cancel your subscription if applicable.
  14. Miscellaneous
    14.1 Governing Law
    These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Dallas County, Texas, and you consent to personal jurisdiction and venue in such courts. If you are a consumer residing in a jurisdiction with mandatory consumer protection laws, this provision is not intended to deprive you of those protections.
    14.2 No Waiver
    Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that or any other provision. Any waiver of any provision must be in writing and signed by an authorized representative of Roof Hawk AI.
    14.3 Severability
    If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
    14.4 Assignment
    You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. Roof Hawk AI may assign these Terms or transfer any rights or obligations without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their successors and permitted assigns.
    14.5 Entire Agreement
    These Terms (including any referenced policies, such as our Privacy Policy) constitute the entire agreement between you and Roof Hawk AI with respect to the Service and supersede all prior agreements or communications. In the event of a conflict between these Terms and any other terms provided to you regarding the Service, these Terms will control unless expressly otherwise agreed by Roof Hawk AI in writing.
    14.6 No Third-Party Beneficiaries
    These Terms are for the benefit of you and Roof Hawk AI. No other person or entity shall have any right to enforce any of these Terms.
    14.7 Force Majeure
    We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, civil disorder, natural disasters, pandemics, labor strikes, or governmental actions.

  16. Use of Reports in Legal Proceedings
    If you choose to use or rely on any Roof Hawk AI reports in a legal case or proceeding, you acknowledge and agree that:
    • Deposition or Expert Witness: In the event Roof Hawk AI (including its employees, representatives, or contractors) is required, requested, or subpoenaed to participate in any legal proceeding or provide deposition, testimony, or expert witness services related to your use of our reports, you will be solely responsible for all related fees, costs, and expenses incurred by Roof Hawk AI or its representatives.
    • Payment of Fees and Expenses: Such fees and expenses may include, but are not limited to, professional fees, travel costs, lodging, document preparation, and any other associated costs.
    • Timely Payment: You agree to remit payment promptly upon receipt of an invoice for these fees and expenses and to cooperate with Roof Hawk AI in arranging any necessary scheduling or documentation.
  17. Communications & SMS/Text-Messaging Terms and Conditions
    The following provisions satisfy RingCentral®, CTIA, TCPA, and The Campaign Registry (10DLC) requirements and apply whenever you provide a mobile number or otherwise consent to receive SMS or MMS messages (“Texts”) from Roof Hawk AI.

    SMS Consent & Privacy
    Mobile numbers collected for SMS programs are never sold, rented, or shared with third parties for their own marketing purposes.
    Types of Texts You May Receive
    • Appointment or on-site inspection reminders
    • Real-time hail or severe-weather alerts
    • Account, billing, or support follow-ups
    • Optional: Promotions or special offers (only if you check the marketing-SMS box)
    Message Frequency
    Message frequency varies by program. You may receive up to 4 account/weather texts per week and, if opted-in, up to 2 promotional texts per month.
    Fees & Charges
    Standard message and data rates may apply, depending on your wireless plan and whether messages are domestic or international.
    Opt-In Methods
    You can opt-in by any of the following:
    • Verbally (e.g., during a call or in-person conversation)
    • Submitting an online form and checking the SMS consent box
    • Filling out a paper form that includes an SMS consent checkbox
    • Texting a keyword such as START, JOIN, or YES to our published long-code or toll-free number
    Opt-Out Methods
    Reply STOP to any Roof Hawk AI text at any time to cancel. You will receive one confirmation Text and will then be removed from the SMS list(s). You may also e-mail support@roofhawk.ai or call 214-755-1001 to be removed.

    Consent to receive promotional Texts is not a condition of purchase. Some messages may be sent using autodialing technology.

By using the Service on or after April 28, 2025, you acknowledge that you have read, understood, and agree to these Terms of Service. If you do not agree to the Terms, you must stop using the Service immediately.
